Pursuant to Article 5, Section 2 of the Golden Growers Cooperative bylaws, District Director Candidates may be nominated by Petition or from the Floor.
Nomination by Petition
A member may be nominated by petition upon obtaining the signatures of at least ten (10) members entitled to vote within their district.  Petitions must be filed no fewer than seven (7) days before the Annual Meeting.  After certification of the petition by the Cooperative’s Secretary, the name of a member nominated by petition will be placed upon the official printed ballot for the district.
To facilitate the Nomination by Petition, Golden Growers developed a Nominating Petition for this purpose.  If a candidate would like a list of members within their district, they may obtain a list upon signing and submitting a non-disclosure agreement.

Nomination from the Floor
Nominations may also be made from the floor by any member/stockholder and when seconded, will be considered a candidate for their district.  The name of a member nominated from the floor will not appear on the official ballot, and therefore, the nominee is considered a “write in” candidate.
The nominee(s) from each district receiving a majority of the votes cast by members of the District attending the Annual Meeting shall be deemed elected to the Board of Directors and shall take office at the adjournment of the annual member/stockholder meeting.
Pursuant to Article 5:
  • Each Member is entitled to one (1) vote regardless of the number of Units the Member owns
  • Members in good standing are entitled to vote
  • For the purpose of electing a Director, voting is limited to Members assigned to that District
  • In the case of At-Large Directors, all Members attending may vote.
  • The spouse of a Member may vote on behalf of the Member unless the Member has indicated otherwise
  • Proxy voting is not permitted
Pursuant to Article 6:
  • On an annual basis members will elect directors to serve the three territorial districts and to serve as At-Large directors.
  • Terms of Directors shall be three (3) years
  • Directors may not serve more than four (4) consecutive three year terms
